PARKANIZE TERMS & CONDITIONS

1. INTRODUCTION

1.1 These Terms & Conditions ("Terms") govern your use of the Parkanize mobile application, website, dashboard, and all related services ("Parkanize", "we", "us", "the Platform").

1.2 Parkanize is a digital marketplace that enables individuals and companies ("Hosts") to list private parking spaces ("Spaces"), and enables individuals ("Renters") to book these Spaces for weekly, monthly, quarterly, or yearly durations.

1.4 By using the Platform, you agree to these Terms and all related policies, including:

• Privacy Policy
• Cancellation & Refund Policy
• Cookies Policy
• Data Retention Policy
• Community Guidelines

1.5 Parkanize may update these Terms at any time with or without prior notice, and continued use of the Platform constitutes acceptance of the updated Terms.

1.6 Eligibility: You must be at least 18 years old and have the legal capacity to enter into a binding contract in order to register for or use the Platform. The Platform is not intended for individuals under the age of 18.

2. DEFINITIONS

• Platform: The Parkanize app, website, dashboard, APIs, and related services.
• User: Any person using the Platform (Host or Renter).
• Host: An individual or company listing a parking space.
• Company Host: A business entity legally listing one or more parking spaces.
• Renter: An individual booking a parking space.
• Booking Period: Weekly, Monthly, Quarterly, or Yearly.
• Public Listing: A listing open to all Renters.
• Residents-Only Listing: A listing only for renters who already have legitimate building access.
• Villa Listing: A listing located in a standalone villa or private property.
• Access Credential: Key card, fob, remote, PIN, QR, or any device required to access the parking area.
• Access Fee: A refundable deposit for physical access credentials (the "Access Deposit"), collected in the amount displayed in the app at the time of booking.
• Platform Fee: A non-refundable fee charged to Renters, in the amount displayed in the app at the time of booking.
• Commission: The commission deducted from Host payouts, charged at the rate displayed in the app at the time of booking. Parkanize may change the applicable rate at any time; the rate displayed in the app at the time of booking shall apply to that booking.
• Host Payout: The net amount earned by Hosts after fees and commission.
• Verified Owner Badge: A badge granted, at Parkanize's sole discretion, when ownership or tenancy documents are submitted and approved, with Parkanize reserving the right to revoke or withhold the badge at any time without notice or liability.

3. ROLE OF PARKANIZE

3.1 Parkanize provides a technology marketplace that connects Hosts and Renters.

3.2 Parkanize does not manage, control, or inspect any listed parking spaces.

3.3 Parkanize is not liable for:

• Access issues, towing, clamping, or fines
• Misrepresentation or fraud by Hosts or Renters
• Disputes between Users
• Building security actions or access denials
• Damages, theft, or incidents inside buildings or parking areas
• Any illegal user activity

3.4 Parkanize is not responsible for verifying whether a Host has the legal right to rent the listed parking space, and disclaims all liability for any claims, losses, or damages arising from a Host's lack of authority or legal right to list or rent any parking space.

3.5 Parkanize holds Renter payments securely and releases Host payouts only in accordance with Section 9.6.

4. USER ACCOUNT & KYC VERIFICATION

4.1 Individual KYC

Required for Renters and Individual Hosts:

• Government-issued ID (Emirates ID or Passport)
• Selfie verification
• Phone number
• Car plate number (Renters only)

4.2 Company Host KYC

Company Hosts must provide:

• Company Name
• Valid Trade License
• Authorized Person Name
• Authorized Person Emirates ID or Passport
• Company Email & Phone
• Optional: Authorization Letter or Power of Attorney

4.3 Verified Owner Badge

Granted per listing when Host submits:

• Ownership document, or
• Tenancy contract including the parking space

4.4 KYC & Booking Logic

• When a Renter books a space, the booking moves to "Pending KYC Approval"
• Host cannot accept or arrange access until KYC is approved
• If Renter KYC fails, the booking is cancelled and the Platform Fee is not refunded

4.5 Listing Approval

A listing is published only after:

• Host KYC is approved, and
• Listing details are approved by Parkanize admin

4.6 Admin Rights

Parkanize may reject, suspend or revoke any KYC submission or approval thereof at its sole discretion and is not required to provide a justification or notice. Parkanize shall have no liability, whatsoever to any User for exercising such rights.

5. LISTING TYPES

A. Public Listing (Available to Anyone)

• Strict trespassing rules apply
• Renter may only access the designated parking area

B. Residents-Only Listing

Host declaration: "I confirm I am legally permitted to rent this space only to building residents. I acknowledge that Parkanize does not verify my legal right or any residency status and bears no liability for any misrepresentation."

Renter declaration: "I confirm I am a resident or authorized occupant of this building. I acknowledge that Parkanize does not verify my residency status and bears no liability for any misrepresentation."

Important: Parkanize does not verify residency claims and assumes no responsibility for determining whether a renter is actually a building resident or authorized occupant.

C. Villa Listing

• Located in a standalone villa or private house
• Trespassing rules do not apply
• Renter may access only the designated parking area
• Access may require gate code or remote

Villa Listings are independent private properties; therefore, trespassing rules do not apply. Renters may only access the parking area assigned by the Host, and no additional access rights are implied.

6. MISREPRESENTATION RULES

6.1 If a Renter lies about being a building resident in a Residents-Only Listing:

• Permanent account suspension
• No refund of booking fees
• Access Fee forfeited
• Host compensated at Parkanize's sole discretion and subject to available funds
• Parkanize bears no liability to any User or third party for such misrepresentation or any resulting consequences

If a renter falsely declares they are a building resident or authorized occupant, Parkanize may permanently suspend their account without refund, and any access fee will be forfeited.

7. TRESPASSING RULES (PUBLIC LISTINGS ONLY — STRICT)

Renters may NOT enter:

• Lobbies
• Elevators
• Residential floors
• Hallways
• Gyms / Pools
• Community areas
• Private property

Renters may ONLY:

• Enter the parking garage
• Access the assigned slot
• Exit the garage

Tailgating is strictly prohibited.

Penalties

• Immediate account termination
• No refunds
• Access deposit forfeited
• Host compensated
• Renter liable for fines, towing, and security actions

Evidence Clause

Security footage, access logs, Host reports, building statements and any other evidence deemed relevant by Parkanize may be used as evidence of trespassing or access misuse. Parkanize shall have sole discretion to determine what constitutes sufficient evidence and may act on such evidence without further investigation or liability.

8. BOOKING RULES

• Weekly, Monthly, Quarterly, Yearly bookings
• Minimum 24-hour advance
• Full upfront payment required
• No cancellations after start
• No early termination
• Host cannot cancel an active booking
• Renter must remove vehicle at end time

For Quarterly and Yearly bookings, each rental month is treated as an independent service period for payout and compliance purposes.

9. FEES, COMMISSION & PAYOUTS

9.1 Platform Fee (Non-Refundable)

The Platform Fee applicable to a booking is the amount displayed in the app at the time of booking and is non-refundable. Parkanize may change the Platform Fee at any time; the amount displayed in the app at the time of booking shall apply to that booking.

9.2 Host Commission

Parkanize charges a commission on Host earnings at the rate displayed in the app at the time of booking. Parkanize may change the applicable commission rate at any time; the rate displayed in the app at the time of booking shall apply to that booking.

9.3 Access Credential Fee

Refundable only if:

• Credential returned
• Host confirms return within 48 hours
• No damage

9.4 Refund Before Start

If renter cancels before the booking start:

• The Renter receives 70% of the booking fee (the Platform Fee is excluded and is non-refundable)
• The remaining 30% of the booking fee is allocated to the Host
• Parkanize deducts its commission (at the rate displayed in the app at the time of booking) from the Host's 30% share, so the Host receives 80% of that 30% share where the commission rate is 20% (i.e., the Host nets 24% of the booking fee)
• The Platform Fee is non-refundable

9.5 Currency

All amounts displayed on the Platform are in AED.

9.6 Payout Schedule

Host payouts are released based on the applicable Booking Period as follows:

(a) Weekly Bookings

• Twenty percent (20%) of the Host Payout shall be released upon confirmation of the booking
• The remaining eighty percent (80%) shall be released within fourteen (14) days following the successful completion of the booking, subject to these Terms and any applicable withholding, adjustment, investigation, or dispute

(b) Monthly Bookings

• Twenty percent (20%) of the Host Payout shall be released upon confirmation of the booking
• The remaining eighty percent (80%) shall be released within fourteen (14) days following the successful completion of the booking, subject to these Terms and any applicable withholding, adjustment, investigation, or dispute

(c) Quarterly Bookings

• Twenty percent (20%) of the Host Payout relating to the first rental month shall be released upon confirmation of the booking
• The remaining eighty percent (80%) of the first rental month's Host Payout shall be released within fourteen (14) days following the successful completion of the first rental month
• One hundred percent (100%) of the Host Payout relating to the second rental month shall be released within fourteen (14) days following the successful completion of the second rental month
• One hundred percent (100%) of the Host Payout relating to the third rental month shall be released within fourteen (14) days following the successful completion of the third rental month

(d) Yearly Bookings

• Twenty percent (20%) of the Host Payout relating to the first rental month shall be released upon confirmation of the booking
• The remaining eighty percent (80%) of the first rental month's Host Payout shall be released within fourteen (14) days following the successful completion of the first rental month
• Thereafter, one hundred percent (100%) of the Host Payout relating to each subsequent rental month shall be released within fourteen (14) days following the successful completion of that rental month

Parkanize will use commercially reasonable efforts to release payouts as soon as practicable. The fourteen (14)-day period represents the maximum expected payout period and payouts may be released earlier at Parkanize's discretion.

9.7 Withholding of Payouts

Parkanize may, at its sole discretion, withhold, reduce or permanently forfeit any unpaid Host payouts for any month in which Parkanize determines, in its sole judgment, that the Renter reports access issues, misrepresentation, unavailability of the parking space, or failure by the Host to meet listing obligations. Withheld or forfeited amounts may be refunded to the Renter, retained by Parkanize or used to settle penalties, claims or administrative costs, at Parkanize's discretion. Parkanize's determination shall be final and binding.

10. HOST OBLIGATIONS

Hosts must:

• Provide accurate information
• Ensure access works
• Not double-book
• Respond within 24 hours
• Comply with building rules
• Confirm return of access credentials
• Have lawful right to rent the space and indemnify and hold harmless Parkanize from and against any claims, damages, or losses arising from a lack of such right

11. RENTER OBLIGATIONS

Renters must:

• Provide accurate KYC
• Park only in assigned space
• Follow building/community rules
• Return access device
• Remove vehicle at end of booking
• Not sublease the space
• Not sleep in the vehicle
• Not misuse access

12. VILLA LISTINGS

• No trespassing rules
• Access may require code or device
• Renter must use only allocated area
• All other penalties still apply

13. DAMAGE & LIABILITY

Renters are fully responsible for:

• Damage to parking facility, vehicles or property
• Damage/loss or misuse of access credentials
• Unauthorized access or use of the premises
• Fines, towing, clamping, penalties, or charges imposed by any authority or third party
• Any violation of building rules or applicable laws

Renters shall indemnify and hold harmless Parkanize from any claims, losses, or damages arising from the foregoing.

Liability Disclaimer: Parkanize bears no responsibility or liability, whatsoever for the physical condition, legality, safety, suitability or availability of any parking space listed on the Platform or for any acts or omissions of Hosts, Renters, or third parties. All use of the Platform and parking spaces is at the User's sole risk.

14. ANTI-CIRCUMVENTION

Users may NOT:

• Exchange contact details
• Transact outside Parkanize
• Bypass Platform Fees or Commission

Violations result in:

• Immediate Account suspension or termination at Parkanize's discretion
• No refunds of any fees or deposits
• Loss or forfeiture of any payouts, credits, or other amounts due to the User

Parkanize reserves the right to pursue legal action or claim damages for any circumvention or breach.

15. DISPUTES

• Disputes regarding a booking are primarily a matter between the Host and the Renter, who remain responsible for resolving them between themselves
• Parkanize may, at its sole discretion, investigate a dispute and adjust, withhold, or reduce Host payouts based on its findings (including redirecting withheld amounts to a Renter as described in the Cancellation & Refund Policy)
• Parkanize does not act as a formal arbitrator or mediator, is not obligated to investigate, mediate, provide evidence, or intervene in any dispute, and any such involvement is voluntary and creates no liability on Parkanize's part

Clarification: Parkanize may, at its sole discretion, investigate disputes and adjust, withhold, or reduce Host payouts based on its findings, but it does not act as a formal arbitrator or mediator, and its involvement creates no liability on Parkanize's part.

16. SUSPENSION & TERMINATION

Parkanize may suspend or terminate accounts for:

• Fraud
• Trespassing
• Misrepresentation
• Circumvention
• Abuse
• Any illegal activity

No refunds or credits of any kind will be issued upon suspension or termination of any User account, regardless of the reason. Parkanize shall have no liability for any loss, damages, or claims arising from such suspension or termination.

17. DATA & PRIVACY

Parkanize retains:

• KYC data
• Access logs
• Booking history
• Residency declarations
• Device and usage data
• Any other data submitted or generated in connection with the Platform

Parkanize may use, process, transfer, or disclose such data for any lawful business purpose, subject to applicable law and its Data Retention Policy. Retention follows the Data Retention Policy.

18. PAYMENTS

• All payments shall be processed through a third-party payment processor designated by the Platform from time to time
• Renters shall pay the full booking amount at the time of booking
• Host payouts shall be released in accordance with the payout schedule set out in Section 9.6 of these Terms
• Parkanize may withhold, delay, reduce, or permanently forfeit any Host Payout in accordance with these Terms, including where a dispute, fraud, misrepresentation, access issue, investigation, chargeback, or other breach is reported or reasonably suspected
• Users acknowledge that payment processing services are provided by independent third-party payment providers and are subject to those providers' applicable terms and privacy policies
• The Platform does not store or retain users' full payment card details

19. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Parkanize's total aggregate liability to any User for any claim arising out of or relating to the use of the Platform, these Terms, or any transaction facilitated by the Platform shall not exceed the greater of (a) AED 500 or (b) the total fees paid by the User to Parkanize in the twelve (12) months preceding the claim. In no event shall Parkanize be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages.

20. FORCE MAJEURE

Parkanize shall not be liable for any failure or delay in performing its obligations under these Terms due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or failures of third-party service providers.

21. INTELLECTUAL PROPERTY

All content, trademarks, logos, software, and other materials provided by Parkanize on the Platform are the exclusive property of Parkanize or its licensors. Users may not copy, reproduce, modify, distribute, or create derivative works based on any Parkanize content without Parkanize's prior written consent.

22. INDEMNITY

Each User agrees to indemnify, defend, and hold harmless Parkanize, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including legal fees) arising out of or relating to (a) the User's use of the Platform, (b) breach of these Terms, (c) violation of any law or third-party rights, or (d) any transaction or interaction with another User.

23. SEVERABILITY

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be severed and the remaining provisions shall remain in full force and effect.

24. ASSIGNMENT

Parkanize may assign or transfer its rights and obligations under these Terms to any third party at any time without notice or consent. Users may not assign or transfer any rights or obligations without Parkanize's prior written consent.

25. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.
